About the Role

Packsize is seeking an experienced strategic and action oriented attorney to fill the new corporate role of Corporate General Counsel. As Corporate General Counsel they will be responsible to provide Packsize and its global affiliates with counsel, general legal guidance, advice, and support on a variety of legal matters including intellectual property management and protection and other business decisions which impact the organization. This position will report to the CEO.

What You'll Do

Legal Counsel and Guidance

  • Direct, and provide support to the organization for corporate governance, compliance, commercial and procurement contracts, employment, and intellectual property to ensure the retention of the Company's full legal rights while driving adherence to contract management standards.

  • Research and identify legal risks, develop strategies and policies, when appropriate, to manage them effectively.

  • Intellectual property management and protection advice and strategy including drafting and submitting patent and trademark applications and litigating matters related to patent, trademark, and copyright infringement.

  • Representing the company in legal proceedings, including litigation and arbitration; develop and deliver memoranda, initial drafts, and final drafts of legal documents.

  • Provide strong leadership and legal counsel to all parts of the business.

  • Provide support for mergers and acquisitions, joint ventures, and other strategic transactions.

  • Overseeing the company's compliance with applicable laws and regulations, including data privacy laws, anti-corruption laws, and employment laws.

  • Manage regulatory claims and proceedings, internal investigations, or external investigations.

Corporate Operations Support

  • Lead and mentor the Packsize Legal department, fostering a high performance culture

  • Research, evaluate, and provide guidance on different risk factors regarding business decisions and operations.

  • Monitor changes in laws and regulations which may impact company business and practices.

  • Build and maintain relationships with customers and business, community, and industry organizations to promote goodwill.

  • Support and manage outside legal counsel and ensure that legal services are delivered in a cost-effective and timely manner.

  • Respond professionally and timely to address legal and commercial problems and business requests.

  • Achieve deliverables and positive results consistently while maintaining high service, quality, responsiveness, efficiency, and professional ethical standards.

  • Able to handle multiple assignments, works well under pressure, and has the flexibility to assist the team in meeting demands on accelerated schedules.

  • Analytical; excellent research and organization skills with great attention to detail.

  • Strong negotiator with superior verbal and written communication skills with the ability to communicate complex legal concepts in a clear and concise manner.

  • Thorough understanding of intellectual property, patent, trademark and copyright infringement law; can apply strategic thought leadership to patent processes and share best practices.

  • Strong business acumen, excellent legal and business judgment, with the ability to balance legal risks against business objectives

  • Unquestioned ethics and integrity

Education and Experience

  • Juris Doctor degree from an accredited law school and admission to the bar in the jurisdiction(s) where the company operates.

  • Active member, in good standing, of the State bar of Utah.

  • Minimum of 10 years of legal experience, in-house legal experience preferred

  • Proven experience in the manufacturing, software, or technology industries, working with B2B contracts, intellectual property, patent, trademark and copyright experience desired.

  • Experience with mergers and acquisitions, joint ventures, corporate governance and working with Boards will be highly regarded.

  • Demonstrated ability to produce quality materials within tight timeframes while managing multiple projects.

  • Ability to travel domestically, up to 15%

What We Offer

The salary range for this role is $287,000-352,000; however, Packsize considers several factors when determining compensation when extending a job offer, including but not limited to, the role being offered, the associated responsibilities, the candidate's prior work experience, education/training, and any special skills.
